On April 10, 2017, BBB requested Compliance Filing Service modify or discontinue annual minutes compliance notice mailers disseminated to businesses which state businesses are both required to keep minutes of committee proceedings and have them submitted to the Arizona Corporation Commission or there would be a consequence for non-compliance.
According to BBB Code of Advertising 1. Basic Principles & 32. Business Name or Trade Style;
1.2 “Advertisements which are untrue, misleading, deceptive, fraudulent, falsely disparaging of competitors, or insincere offers to sell, shall not be used."
32.1 "Business names or trade styles must not contain words that would mislead consumers either directly or by implication."
BBB requested Compliance Filing Service modify their mailers to adhere to BBB Code of Advertising by removing all implications that this service is required by law and by removing the deceptive reference to Arizona Revised Statues and Government trade styles. If they were unable to modify, BBB requested the business discontinue these mailers.
The business responded to BBB notifications to refute that their mailers indicate businesses must send their annual minutes to the Arizona Corporation Commission and that they too agree this is not a legal requirement.

BBB has received information this business seeks a $150 fee to file “annual minutes” for companies. However, according to the Arizona Corporation Commission (AZCC):
“A solicitation from a company called "Compliance Filings Service" is circulating to corporations offering to provide "annual minutes" in exchange for a fee. Click here for an example. This solicitation is NOT from the Arizona Corporation Commission. There is no statutory requirement that "annual minutes" be filed with the Arizona Corporation Commission. "Compliance Filings Service" is not affiliated with the Arizona Corporation Commission in any way. If you have any questions about your corporation's record, please call our Customer Service Call Center at 602-542-3026.”
