    We, ****** ****************** *******, own the mineral rights to ************************************************** The rights were handled by ************** [now known as Civitas]. ************** paid us royalties for the oil ********* 2021, an individual from TPC energy [AKA Petram oil], *********** ******, offered to buy our mineral rights. However, when the purchase checks arrived, the amount was not the same as the offer. Mr. ****** was not helpful, so we contacted the Better Business Bureau [complaint ********] You contacted Mr. ****** and we reached an agreement that we would not cash the checks and he would return the mineral rights to ************* [Civitas]. [Note, we still have the original never cashed checks as well as the offering letter from ***]. Mr. ****** also asked us to withdraw our complaint which we did. We did not here from either oil company again.I emailed ****** *********** ********************************** at Civitas asking why we were not receiving royalities. She said that ******* no longer managed our rights and that Petram Oil [TPC], had not returned the rights to ******* [Extraction] and now owned the rights [recorded under number ********** in *****************, ********].In other words, Mr. ****** never did what he told you and us he was going to do. That is why we have not received royalties. The rights were transferred to Petram without our consent.The purpose of this letter is to ask BBB to help us with a new complaint. The last time we were due royalities was Dec 2024. Like the other years, the royalities never came. We would like to collect the royalities for each year that we did not get them and continue to receive them or we would like one of the oil companies to purchase the rights.

    In August 2021, The Petram Group / TPG Energy entered into a Purchase and Sale Agreement with ****** and ******** ******* (the Seller) to acquire a mineral interest in ***********,********. The interest was initially estimated at ***** net mineral acres. The agreement included a standard clause allowing for a purchase price adjustment if the final acreage differed from the estimate.

    Following our due diligence, we confirmed the Sellers actual ownership to be ***** net mineral acres. We notified the Seller of this adjustment in writing on September 8, 2021. On September 24, 2021, the Seller voluntarily executed and returned a notarized mineral deed. *** interpreted this as consent to proceed with closing. We then issued payment based on the adjusted acreage and recorded the deed.

    After receiving the payment, the Seller expressed concern over the reduced amount and filed a complaint with the Better Business Bureau in October 2021. To resolve the matter amicably, we agreed to unwind the transaction and reconvey the mineral interest back to the Seller.

    We respectfully disagree with the Sellers claim that *** failed to meet its obligations. In October 2021, we executed and recorded a Quitclaim Deed reconveying the mineral interest to the Seller. We also formally notified the operator and provided them with a recorded copy of the deed. The Seller received a copy as well.
    While we understand the Sellers frustration regarding the lack of royalty payments, any remaining issues such as delays in ownership updates or unpaid revenue must be addressed with the operator, who is solely responsible for managing ownership records and distributing proceeds.

    Proposed Resolution:

    *** remains committed to helping resolve the issue. We are willing to contact the operator on the Sellers behalf to help determine the cause of the delay and ensure the ownership transfer is properly reflected in their records.

    Thanks for reaching out. I did find your account info, owner RV40157. In 2022, we received a deed showing that you conveyed your mineral interest to Petram Oil, recorded under number 2021018166 in ******************

    As you can see Civitas shows that our mineral interest was conveyed to Petram no letter than 2022 and that our rights are  now registered in their name in ***************** [recorded under number 2021018166 ]. I do not understand how the rights could be in our name as Petram implies and in their name according to Civitas at the same time. Also, we were never told that the checks would be for less then the aggreed upon amount. I can not imagine selling something without knowing the sales price. When we received the checks [which we still have], after Petram refused to pay us what they promised, we contacted BBB. BBB asked Petram to settle the case and we and Petram aggreed that they would transfer the deed back to ******* and ******* would continue to pay us royalities. We never received any royalities. When I contacterd Civitas, [as you can see above], they said the Petram had not transferred the rights back to them and had instead registered the rights in there name.

     

    What we would like is to be paid for the years that we were not paid and continue to be paid in the future.

    I received the below. Unfortunately, I am not sure its practical meaning. Please ask them to send us something that tells me in practical terms what is happening and what it means in terms of payments to us now and in the future. This is not ment a criticism of the company, just that there are terms and abbreviations with which I am not familiar.

    Who is the analyst you passed this on to?  We were just informed that ******** interests were allegedly transferred to us in 2022 despite the numerous emails (attached) we sent requesting this not to happen as we provided quitclaim deeds back in November of 2021.  These interests need to be transferred back to the Drabmans immediately with the revenue being reversed and rebooked.
