Clasicorp Import, Corp is presided by *************************** and ***********************. This individuals create the expectancy for grocery manufacturers and distributors that they will help you get into the *** Independent Supermarket Channel offering first there consulting services ($10,500) and the establisihing a non guarantee $2,000 monthly fee. Everything sum up to $23,000 including a business trip involving supposively 3 distributors to be visited and ended up being one that had not even seen the product nor received samples and pricing. The consulting serviced lasted in their timeline 3 months it was delivered in 5 months and never gave us a review of what was being worked on. The second phase was the sales due dilligence contract with a lasting period of 1 year and we settled deliveries in the 4th month thing thats was not delivered and we are reaching the 8 month and decided to file a lawsuit against "Clasicorp Import, Corp". Critical points to be stated that have not been delivered by Clasicorp Import. Corp 1. The consulting service never stated that our main competitor Frito Lay had a non compete agreement with the distributors in the Tristate area. How come *************************** being a supermarket owner doesnt know this type of restriction ? 2. Clasicorp never gave an update nor advances in the whole 5 months that they did the due dilligence. A phase to phase meeting was requested and never complied. The answer was we do our thing at our own time.3. The consulting service never mentioned the non compete Frito Lay agreement. Poor consulting job. 4. A monthly fee of $2000 was established for a period of 4 months ....no distributor due dilligence was shown only a poor coordinated trip to ******** in which *********************** just wanted to get rid of the responsability and we interviewed ***** and Companiy which did not know anything about the product not the business proposal. 5. *************************** and ***********************, Respectively the President and Ceo of Clasicorp ********** are the individuals that act as representatives of this " consulting firm" that leads you to think that your prodcut or prodcuts are going to be sold in the ***** ********************************). The consulting service had a cost of $10,500 plus and $8000 charge for 4 months of " "sales due dilligence" to get the product in the supermarkets that belong to this organization. ***************************** friend of *********************** participated in this scam.... the way they operate is tellig the customer the following things: 1. They dont like to be contacted my phone nor email. 2. Paying up front with no compromise ( *********************** is the one in charge of the out standing balances) 3. The consulting service lasted 5 months it was meant to be delivered in 3 months, not a single update. 4. The physicall address from *************************** is a residential address in which he does live. 5. They only presented one potential distributor in a trip to ******** ( the distributor had no idea of the product , samples and pricing where not submitted to the distributor prior the meeting) 6. They lied constantly that a Purchase order was going ro be delivered. 7. *************************** told us in a phone call with *********************** and ***************************** that he could delivered the distributor if we waited 6 months. 8. Be carefull on the termination clause they put in the contract. They have no liability despite you pay for the consulting service and pre-selling of your product with the distributor. 9. The consulting service was a complete scam, you find that information in ******* The only decent information they presented was the pricing list and competitors brand. 10. Thank you for contacting us and giving us an opportunity to respond to the unfounded complaint by *******************************, from iCoffee Company, LLC.
Let me start by stating that we have several clients that can provide references and positive reviews of our consulting services, including ************************************************, the ex-partner of *******************
Now, allow me to expose some key points that completely discredit to ******************** claim:
1. We offered ****************** and ****************** (The Client), a two-phase consulting engagement. Each phase independent of each other, with a separate Consulting Agreement, different terms, deliverables, and payments. In addition, we explained to The Client that we did not guarantee results as there are many variables that we do not control. Hence, we were going to do our best effort to deliver a discovery Phase I report, that upon delivery and completion was paid in full to the satisfaction of The Client. Afterwards, The Client had the option to enter the Phase II commercialization agreement if desired.
2. Phase I- First Consulting Agreement: On 11/01/2021, we signed the Phase I consulting agreement (which ****************** has attached to his claim), where the objective was to do an analysis of a portfolio of brands that The Client wanted to sell to our network of retail contacts, which include the following terms: a) Product Offering Evaluations, b) ************ c) ****** Demand.
a. We performed our work and determined that the brand with the biggest potential in the ******** Tri-State area was the Farmers Own product line of snacks. We provided a report with market information, competitors, pricing, and all the items we committed to delivering. Please see attached.
b. Once we delivered Phase I on DATE (still under the timeframe of our contract), we proposed The Client that if they were satisfied with Phase I, that we could continue working under our Phase II agreement. Which The Client agreed and requested a proposal for Phase II.
3. Phase II- We went ahead and presented our Phase II proposal, offering commercialization consulting services to arrange meetings with potential partners that would be interested in distributing the Farmers Own Brand (and other related services). The Client reviewed our proposal, negotiated for better terms (lower rate and shorter delivery time), and the parties signed on 03/05/2022. Again, prior to signing, we expressed that we do not guarantee results, as there many variables that we do not control. In addition and due to the uncertainty of our business, we include in our Phase II agreement a Termination Clause (XI) that states it can be terminated in advanced at any time under the following conditions: a) By mutual agreement of the parties, b) For dissolution or bankruptcy of any of the parties, c) By force majeure or a fortuitous event beyond the control of the parties, d) In the event that four months after the start of the contract, minimum sales have not been reached that justify the sales in the aforementioned market, e) In any of these cases, early termination will not entail a penalty or compensation for either party.
a. We started the engagement, and we identified only two distribution companies interested in carrying the Farmers Own brand. We started the negotiations, send samples, pricing, etc., and we waited for them to do their due diligence and for a positive response. Unfortunately, both distributors discovered they had non-Compete clauses within their distributor agreements with their main clients and expressed their inability to distribute the Farmers Own line of snacks in fear of facing legal is***s and potential economic losses. We notified The Client and discussed a different strategy to find a distributor not involved in the snack business, which they agreed.
b. We then identified a company that showed interest and we arranged an in-person meeting in ********. Unfortunately, this new company expressed they were not ready to sign a deal at the meeting and requested some time to analyze the business opportunity and perform their due diligence. After waiting for a couple of weeks, they expressed they were still not ready to move forward, and we also felt that it was better to find another partner that could be more committed and willing to take the risk. Right after that, we offered The Client the opportunity to present their products in our booth at a Trade Show in late August, at no cost to them. Which they gladly accepted, but since they could not show up in person at the trade show, they sent us samples for us to display and sell to potential distributors.
c. During this time, The Client (specifically ******************) was desperate to close a deal and started behaving erratically. We had several calls, we agreed on certain things with ******************, and the next day he would call/email to express he had changed his mind. We expressed that in this line of business it can take time to establish a distribution channel and that there are many variables that not even distributors can anticipate, therefore patience, professionalism, and tactfulness with potential partners was required and that showing desperation was never a good strategy to sign a deal. We even discussed this with ****************** separately, and he shared that he was experiencing the same is***s with ******************, as he kept making him offers and then changed his mind. ****************** expressed that he didnt know if he wanted to continue working with ****************** as his behavior had turned unprofessional, erratic, and rude.
d. On 09/19/2022 we delivered our report via email (please see attached copy) stating that we were unsuccessful in finding a distributor for the Farmers Own Brand and that our agreement with The Client automatically expired 4 months after the start date. However, as an act of good faith, we expressed that we believed in the brand and that we were confident we could find a partner. For which we unilaterally offered to continue the effort to identify a distributor partner for the Farmers Own product line, but that we would do it on our terms, timeline, and at no cost to The Client. ****************** agreed, however, we never heard back from ******************. ****************** then notified us that ****************** had texted to let him know that he did not want deal with him or with Clasicorp anymore.
e. On 10/11/2022, ****************** sent us an email threatening to *** us, to present a claim at the Better Business Bureau, and to notify third parties that Clasicorp does business with. For which ****************** replied on the same date, expressing that he did not agree with ******************, and that he understood The Client did not have any legal basis to ***, nor to present a claim to the BBB, and that Clasicorp could *** ****************** for defamation if he sent out false statements to third parties. We then had a phone call with ****************** and he shared that to his surprise, ****************** had recently told him that the reason he was desperate, was because he had promised to deliver purchase orders to CM ********** (the manufacturer of the Farmers Own product line) and that they had already spent resources producing product to fulfill those orders (which we dont know if its true or not, as ****************** was the one with the relationship with manufacturer). And since he was not able to deliver the purchase orders, the manufacturer had decided to no longer do business with ****************** and/or his company. Promises of purchase orders that Clasicorp, nor ******************, never knew about.
I think it is important to understand that the main objective of our business model is to produce revenues from brokerage fees (included in our agreements), therefore we are obviously interested in engaging only with companies and products we believe we can assist in establishing distributor relationships and that can be successful in the marketplace. ****************** can attest how Clasicorp has turned down product lines (as we rejected a product line of an associate of ******************, which then recommended him to us), because we felt they could not be successful in the marketplace, and we could not benefit long-term from the brokerage commission.
I hope that this extensive description of events and backup documents, can allow you and the Better Business Bureau to understand and support our side of the story. We are a company that always acts honestly, fairly, and in good faith. We strive to deliver the best consulting services to our clients and to establish long-term win/win business relationships. Unfortunately, this is the first time Clasicorp has had an is*** with a client, and we hope its the last time. Most of our clients continue to trust us with their products, resources, and continue to renew our consulting agreements. Furthermore, we work in a very tight-nit sector, where reputation is extremely important and where news of negative actions spread quickly. It would be not only unethical, but extremely unwise on our behalf to act irresponsibly and deceitfully with a client and risk ruining our relationship with our contacts and our network.

I am rejecting this response because:1. Let me state that ***************************** is close friends with *************, they do other sorts of business, and he doesn't want to be affected by the failed " consulting services ". The one distributor we met with was ***** and Company an ice distributing company not a grocery distribution company( We paid $25,000 between ***************************** and I for a meeting with ONE distributor). Clasicorp coordinated this meeting in ******** with **** ***** Founder and Ceo of ***** and Companies, to our surprise as we started the meeting no business proposition was made by Clasicorp on their behalf as the buyer didn't have samples nor pricing of the product, they told ***************************** and I we were going to close the negotiation in that meeting. 2. ***************************** was the person who recommended Clasicorp services to i ************** LLC. ***************************** was the one who changed his mind withdrawing from the project. See my email 9/5/2022 below to ************************

Clasicorp did not accept a meeting request done by i ************** LLC after the *** Trade Show. ***************************** and I agreed that he would manage the relationship with Clasicorp due to the inability of the company in delivering the purchase orders that were mentioned. They permanently lied that those purchase orders were going to be delivered. i ************** has FCL business with CM *********** Please see email in which we request a meeting with Clasicorp. They never complied nor responded to the email, payments to Clasicorp were upfront and we delivered in a timely manner.

3. Sustain the 5 % brokerage fee to Clasicorp. We had offer Clasicorp 8% when ***************************** withdrew from the project (they never responded and its was off the table) Please see proposal attached and email sent on 8/8/2022.

Dear Ms./***************** ************* me start by thanking you for giving us an opportunity to refute ******************** false accusations and respond to each of his points.
1. ****************** is not a close friend of mine; he is even much younger than I am. He is a business friend, as we typically establish deep bonds with most of our clients because we work hand in hand to grow their businesses through our channels. Our business is based on relationships, and typically our clients stay with us long-term. Again, ****************** was referred to me by a friend in common. So, ****************** approached me with different products lines, some he had in partnership with ****************** in the food sector, and another product line he is a distributor of in the technology sector. I can challenge you to review my ********* Instagram, LinkedIn and see if weve had a long-term friendship as ****************** claims. Its just not true. In addition, ****************** worked with ****************** more than a year prior to our business relationship. ****************** shared with us that he met ****************** through his recruiting company, where he had applied to a job posting and later interviewed him for a couple of job opportunities. What is true, is that I respect, trust, and would endorse ****************** anytime, something I cannot say about *******************
****************** & ****************** paid for our services by their own free will and we always stated we did not guarantee results, as there are many variables we dont control. Hence, theres no reference to any type of guarantee in our agreements. For the record, they paid $10,500 for Phase 1 (50% paid upon signature of the agreement, and 50% upon completion and delivery of the work) and $2,000 per month for 4 months for Phase 2. For a total of $18,500 for which each ****************** & ****************** paid 50% each. You may ask yourself, why would he have paid the remaining 50% of phase 1 if he was not satisfied with the work, and would he sign Phase 2 if he was not happy with our work?
It is true were still working with ****************** on another project, which started around the same time as the Farmers Own opportunity. However, it is not a food related project/product line, it is a technology solution for retail that were facilitating the sale to our supermarket contacts directly and not to food distributors. I believe we will continue to work with ******************, as we have established a very good business relationship and we have mutually proven our capabilities, honesty, and professionalism.
2. Yes, it is true ****************** recommended Clasicorp to ****************** (and his company). We then had a couple of remote and in-person meetings and ****************** & ****************** decided to engage with us. However, Mr. ******** & ******************** business arrangement or deals, were never part of our purview and none of our concern. After he sent that email, he posts saying ****************** was out of the business, we spoke with ****************** and by this time he was already concerned and worried about his incomprehensible erratic behavior. Again, ****************** shared how ****************** told him that he was out of the business as he could not work with our process, and he did not like or trust me personally, and then he changed his mind several times, making different offers and later backtracking. In addition, ****************** shared that he has all text conversations where you can read his erratic behavior. ****************** offered to share them via a video conference call, as he does not want to post them publicly, so please let me know if youre open to having one.
At some point of our engagement, we had all agreed that ****************** would be the channel of communication for the parties, since we were starting to see the red flags and it was clear that ****************** did not like me very much. In addition, ****************** later shared that ****************** had even proposed to him to remove me out of the equation, as if my partner would ever consider doing that.
More importantly though, it was ****************** that was able to secure very good terms for the deal. We typically never charge such a low fee, and it was ****************** & ****************** that counter-proposed our Phase II agreement to only be for 4 months, when initially we had proposed **** months terms. We only accepted that, because we believed in the brand, and we had at that point 2 strong distributors in the negotiating table considering to carry the brand.
In addition, ****************** never signed any document saying that he was withdrawing from the business, as we would have all needed to sign an addendum to our agreement, which never happened.
3. Our Phase I agreement never included or includes due diligence to find out if a distributor can carry a new product line or not. There is no way for us to review distribution agreements of distributors we work with, first because they typically have non-disclosure clauses in place, and second, because distributors are not in the habit of sharing their agreements to third parties. Furthermore, most distributors dont even know or remember all the particulars of the various contracts they sign. Thats why they take their time to do their due diligence after we (or other companies) have presented a new product line. Imagine a large food distribution company that carries ******* brands or more (with thousands of SKUs) from different manufacturers, do you think theyre going to know by heart the terms of each contract? It just doesnt happen.
4. By this time ****************** had already sent threatening emails, which we now understand was because he was under pressure because he had committed to deliver a PO to the manufacturer, and he was unable to fulfill his offer. ****************** and the Clasicorp team could not believe he had offered to send a PO, nobody in this business offers to send a PO to a manufacturer without having it in their possession, even worse, without having a distribution agreement in place with a distributor. Luckily, ****************** has proof of this in a text message ****************** sent to him stating the above and that the manufacturer was angry with him at this point. ****************** agreed to share this text via video/zoom call for you and the BBB to see.
So it is true that we had all agreed that ****************** would manage the relationship with Clasicorp and would be the channel of communication between the parties. ****************** had stated to ****************** that he didnt want to deal with us and at this point it was mutual due to his erratic behavior, so we agreed. However, that lasted for a couple of days and ****************** started calling and emailing again when he had agreed not to do so. We then all had a conference call to update on the status and to share our next steps.
5. ****************** was the facilitator from the beginning of our business relationship. He was the one that approached us and negotiated terms for each phase. It was never ******************. His emails to ****************** have nothing to do with the agreements both parties signed with Clasicorp and again, all the parties would have needed to agree to Mr. ******** withdrawal from the business and sing an addendum, which we never did. You can ask ****************** to send you that Addendum, he obviously cannot deliver it, as it doesnt exist.
6. We always work and act in good faith, as we did with ****************** and ******************, otherwise we would not have a business. Otherwise, why would we offer to continue working on finding a distributor without asking for additional compensation (per our email dated on September 19th, last paragraph: Clasicorp continuar haciendo la gestin comercial para conseguir un distribuidor para la marca Farmers Own, sin ningn compromiso y sin ningn costo adicional. I am rejecting this response because: my answers in the email I was sent.Dear Ms./***************** ************* me start by thanking you for giving us an opportunity to refute ******************** false accusations and respond to each of his points.
1. ***************************** and I decided to continue to the second phase of the consulting services due to the fact that Clasicorp was going to deliver the distributor / distributors they said they get hold off. In phase I they should have determined if a Non-compete has been signed with the distributor. They stated the Noncompete clause in the second phase of the consulting not the first phase. They never presented one single grocery distributor they had an improvised meeting in ******** which late in the afternoon when our meetings were supposed to start early morning on June 29th, *********************** and *********************** arrived at 2:00 pm that day, they were not able to fly the day before. Un professional from their part.
2. As a proof that they decided unilaterally that ***************************** was going to be the person who will have the communication with Clasicorp is the fact that it wasn't communicated via email to me ...*************************** and *********************** told ***************************** they did not want to work with my company anymore. Why? because I demanded and told them the facts of a poor inefficient work they had been doing. ***************************** did not do that because they are friends and have business together, he can't demand anything from them.
3. If Clasicorp had two distributors in the pipeline ready to be closed, Where are they? It's been 6 months since *************************** compromised to deliver.
4. I sent a ** to CM ********** due to the fact that Clasicorp lied about delivering the *** the ** was not delivered so I sold the product to the Off Retail Channel. When you pay for Consulting Service you expect results, seriousness and formality (no answer to emails, nor meeting requests, no results from Trade Shows) Afterwards I told ******* that I did not want to work with them anymore that he could manage the communication and business relationship with Clasicorp.
5. I have done what I told **************** would do, withdraw from a Un fructose business relationship. I proposed to work with ***************************** until Cm ********** decided they wouldn't not participate in supplying the product due to the lack of trustworthiness with Clasicorp. Thats the main reason I started demanding Clasicorp to deliver because we were going to lose the business as we did at that moment.
6. Once again if you act in good faith deliver what you have stated before ...the deliverable of the distributor was going to be in 6 months. Those where ******************************* words in our last phone call.In this particular project we have invested resources, countless hours, delivering multiple samples of the product, meetings etc. Clasicorp is basing their arguments in what ***************************** and I discussed as we moved along trying to navigate the way we could work with Clasicorp.
i ************** LLC proposal:
1. In that particular moment ***************************** and I agreed to work together. In what way? I would sell the product to him, and he will sell the product to the distributor that had interested in product. We agreed on those terms for the business relationship's sake.
2. We have salvaged the business relationship with CM **********.
