      I spent my entire inheritance and my wifes inheritance on investments due to advice from Lane. A total of $195K. In the first place, you need to be an accredited investor to put money into these syndications, and I am not. I should not have been convinced by ****, or even allowed to invest. The investments have foreclosed and now Im left with nothing.

      Thank you for the opportunity to respond to the complaint submitted by Mr. ****** *******.

      We understand and empathize with the complainants concerns regarding investment losses. However, we would like to clarify several key facts:

      Investor Qualification under Regulation D, Rule 506(b):
      Mr. ******* participated in offerings conducted under SEC Rule 506(b), which permits investment from sophisticated (non-accredited) investors who possess sufficient knowledge and experience in financial and business matters to evaluate the merits and risks of a prospective investment.

      In his own signed documentation submitted at the time of investment, Mr. ******* represented himself as a sophisticated investor, stating:

      "I have worked with Lane on 3 previous syndications."

      "I also own 4 single-family homes that I rent out."

      "I have been investing since 2019."

      Proper Disclosures and ************************************** were accompanied by Private Placement Memorandums (PPMs) and subscription documents outlining the risks and requirements, including self-certification of investor status. At no point was Mr. ******* told to invest against regulation or advised that returns were guaranteed.

      Ongoing Communications and Risk Disclosures:
      Mr. *******, like all investors, received periodic updates, financial reports, and project-specific communications outlining the status of each investment. All investments inherently carry risk, and unfortunately, not all real estate markets or projects have performed as expected in recent years.

      Respectfully Declining Request for Refund:
      While we sympathize with Mr. ******** situation, alternative investments such as real estate syndications do not offer refunds or capital guarantees. Participation is voluntary and based on self-disclosed qualifications. For these reasons, we are not in a position to issue a refund. Commercial real estate has come down 20-30% from its peak in *********. We ourselves have lost millions of dollars in the process, and we sympathize with this. 

      We are committed to transparency and investor education, and we welcome further dialogue if it can help clear up misunderstandings. If additional documentation is needed, we are happy to provide it.

      I am rejecting this response because: I represented myself as a sophisticated investor on the advice of **** *******. All 4 of the investments that I made with **** should not have happened. A sophisticated investor is one that has a proper understanding of the risks and benefits of the investment, which I did not. It was portrayed to me as an investement where I would at least get my money back and more than likely get a large profit.

      There were different levels of investors, and I went with the lowest level which has the least risk, but also the least payout. The way it was explained to me is that this level of investor would be the first ones to get their money back. But after the syndications went under, I still havent seen any money back. I am sure that the major investors didnt just foreclose on the properties and lose the entire multimillion dollar investment. So where did the money go?

      Weve provided a prior response to this matter and have outlined the key facts, including that Mr. ******* voluntarily signed investor documents certifying that he met the requirements to participate in private investment offerings. All associated materials disclosed the risks of these investments in compliance with *** guidelines.
      Our team also made multiple documented attempts to connect with Mr. ******* directly to address concerns. These outreach efforts were either declined or received no response.
      We take all feedback seriously and have responded in good faith.
      We remain open to appropriate dialogue through legal or mediated channels if Mr. ******* wishes to pursue resolution in a professional manner.

      I am rejecting this response because it is untrue. Can you provide the documented attempts to connect? I had to go through BBB because whenever I try to connect and tell you my concerns, you basically responded by saying its out of your control, the other investors are going through the same thing, or to set up a phone call (which I dont have the time or energy for).

      The point I am making, is that I should not have been allowed to make these investments in the first place. The only reason I made these investments is because of the talks I had with ****. **** convinced me it was a good idea to do and that I was a sophisticated investor and that we had a personal relationship. Yes I was too gullible and should not have signed those papers. My point is that instead of teaching me about the investments and how to analyze risks and benefits, **** just pushed the investments. So again, every single investment Ive made with **** has been lost. $195,000 worth. So I am asking for some recompense. As I asked in my emails to you.
