    Attached is supporting documentation in regard to Axle Spindle . We were granted by in for a franchise dealership to serve Maine, New Hampshire, Vermont, and Northern Massachusetts. A competitor of ours was later signed to our assigned territory. We have paid over $40,000 to this company for franchise territory with soul rights. We have also paid for tooling that we have yet to receive. And we received no support now or response back after multiple emails and certified letters sent.

    Good afternoon,
    I would like to mention that you guys have been excellent customers of ours and I hope to clear up any
    misunderstanding in this e-mail. None of our authorized dealers have any assigned territory. Our
    business acts as a parts shop, supplying spindles. If one of our customers in a nearby state gets a call
    in any of the states ****** has mentioned above, they are allowed to go complete those repairs and
    vice versa. There is no documentation nor is there any support that points to a franchise agreement that
    has been signed by both parties but definitely, a gentleman's agreement is in place so all vendors stay
    in their territory. The $40000 wasn't paid for franchise fees, as that amount was all paid in for parts.
    Therefore, *** has not infringed on any agreement, as all vendors have gentlemen's agreements and
    will stay in his area.
    In addition to this, we have confirmed with *** that most of their business will be conducted in Eastern
    part of New York State and will not provide any competition to you. We are currently in the process of
    filling up areas, so new emerging dealers will pop up around your area's boundaries. These are not
    threats to your business as we have co-ordinated a proper map to thoughtfully think of each of our
    vendor's demands. It is important to note that an area of 150 air miles is massive. This is why we are
    providing support along the borders of your territory to make sure each customer is serviced. An area
    with a population of 6 million will be hard to be serviced by 6. 1 hope we can move past the notion of
    having a franchise deal which we never agreed upon nor have any documentation of and rather stick to
    this unspoken agreement for everyone. I intend to respect the amount of area you require and to do my
    best to keep our relationship as a supplierldealer business strong so we can grow to new heights
    together.
    Moving on, the drill machine wasn't shipped and we've contacted you previously. This is the result of a
    slight complication on our end. Due to its design, it had to undergo some testing to ensure that it was
    100% fit to use. The testing has now been completed and it is available to be shipped as soon as the
    prior issue is resolved. We still have the invoice for the drill since we are committed to building a good
    relationship and have no intent of taking your money. Refer to exhibit A. The measuring sleeve has
    been shipped, refer to item 24 on exhibit B. We will ship out another one if it was lost or damaged in
    shipping.

    I have reviewed the response made by the business in reference to complaint ID ********, and have determined that this does not resolve my complaint.  For your reference, details of the offer I reviewed appear below.

    As previously stated with letters to attorney we have 5 signed affadavits from employees that were at the meeting with you stating this was assigned territory hence the large purchases we made from your company.  The 2 options for resolve are stated in letters already submitted to BBB as well as e-mailed to you dated 5/8/2024 & 5/16/2024.  Sounds like the option you are wanting is to buy all product back, including tooling that has been shipped and not shipped by you, as outlined in options.  All invoices have been paid to you!  You owe us for tooling that has never been shipped and always in re design and being devolped that we paid for.  The invoice for all the freight, you indicated we were not paying as freight was never billed on origional invoice and we were never notified, including a saw you shipped that was damaged and then charged us for the freight for replacement both ways.  A pallet would have been a 1/4 of the cost rather than sending individual boxes UPS.  You failed on 2 e-mail attempts to respond as well as attached certified letter that was sent to the address you indicate is your business.  You indicated in your response your adding dealers surronding our territory but in the next paragraph you indicate the territory is ours, contridicting yourself.  The only resolution at this time is reimbursement to us for all expenses incured with involvement of your business.  At that time you can add every shop on every corner, this will also eleviate you from future legal action.
