      We have had ************ floor mats serviced by Indoor Billboard for many years. I recently contacted Indoor Billboard in September of 2023 and asked to cancel my account. The person I spoke to, ********, said that she would let someone know that I wanted to cancel. On October 18th 2023, Indoor Billboard once again came into our store and swapped out our mats with clean ones even though we said we wanted to cancel. I was also charged, again, for this service. On October 18th, I once again called Indoor Billboard and spoke with ********, again, and said that I needed my account cancelled. I asked them to come back, pick up the mats, and refund the credit card charge. I received a call back from ***********************, who said that we couldn't cancel because we signed an agreement, back in 2020, extending our services for several more years. I would need to send them a certified letter canceling my service, and I would need to buy out the remainder of my contract. I told him I never signed a contract, and he emailed me a contract signed by one of my employees, not by the business owners (my wife or my self). They are trying to keep my in a contract that I didn't sign. The contract is null and void.

      Dear Sirs,

      *************** to a letter we received from the BBB dated October 19, 2023 regarding a complaint from *************************, owner of Natures Pet in ************ (Customer).

      I understand that Customer wants to discontinue service without cause prior to the agreed upon term of RSA #******, a copy of which Customer has. The claim is that the person who signed the contract, *********************************,lacked the authority to sign on behalf of Customer. We respectfully do not agree with Customers analysis or conclusion. 

      If I recall correctly from law school many years ago, there are three concepts of authority in agency law: actual, apparent and ratified.  I think a reasonable case can be made for all three types of authority being present here. First, we believe ******** had actual authority.Our basis for this belief is that my salesperson recalled having a conversation with ******** at the beginning of the sales process wherein their authority was established. When ************************* reviewed the contract he at first stated he did not know the signer. He then conceded that the person who signed the contract was an employee. Is it a coincidence that employee ******** has the same last name as the owner?

      Second, we believe apparent authority exists here. Customers unsupported statement that ******** didn't have authority, even if true,doesn't take away his apparent authority because Indoor Billboard was never informed of this. We have nothing in our file to support the claim that ******** didn't have the authority to bind the company, nor any statements indicating this were recalled by our salesperson. 

      Finally, ratification is clearly evidenced by the fact that the parties performed according to the contract terms for approximately 44 months after the agreement was signed. Indeed, each month, Indoor Billboard showed up at the Natures Pet, changed out logo mats, presented an invoice and got paid. If ******************** was unsure of or concerned about the agreement, he had a reasonable opportunity to inquire. However, waiting for 44 months before alerting Indoor Billboard that ******** didn't have authority to sign is simply too late to be effective as to the current agreement. Because ******** had authority to sign the agreement, and/or because the corporation subsequently ratified his actions, the agreement entered into between Indoor Billboard and Natures Pet is valid and controlling. 

      It would be our preference that Natures Pet honor the agreement. In the 44 months Indoor Billboard has provided service there hasn't been a single documented complaint about our products, prices or service. So remaining with Indoor Billboard until the end of the agreed upon term would be the most reasonable approach. 

      However, if Customer wants to discontinue service without cause prior to the agreed upon term, they would be liable for the remaining term of the agreement as well as any logo mats that were used in servicing the account.

      Until Customer is reasonable and recognizes that terminating service without good cause has consequences, theres not a lot more IB can do from a business perspective. Nevertheless, we still hold hope that this situation can be resolved amicably without having to utilize other remedies available to us.
