***** ****** misled me in order to get the sale. Prime will tell you anything that they need to in order to make the sale. In my case it was incite tax that they made the sale for their services. I specifically asked if they had an app to handle the transactions that they managed for me so I wouldn't have to do it. I was currently doing all the transactions using quickbooks, so I thought I could save some time not having to organize all the transactions. Not only did Prime Corporate Services use dishonest means to get me to pay, but they refused to show integrity when their sales rep made a mistake to make it right. They utterly refused to offer a full refund. Don't trust this company unless you are ok with being lied to and given promises about services that they can't or don't offer.Initial Complaint

I attended an online seminar given by PCS in which they were promoting LLC formation services for active traders as a tool for being able to legally deduct trading expenses on income taxes. At the end of the seminar, they offered to set up the LLC for each person at only the cost of each state, waiving their normal fee. But, of course, you had to decide right then or that offer expired. I decided to take advantage of it. They guided us as a group through the completion of an online form, so you didn’t have much time to consider or review what you were filling out, and when we chose our state, it showed the cost, which for SC, they were showing as $310. After pausing momentarily, I went ahead with the submission and submitted my credit card information, and was promptly charged when I submitted the form. I received a prompt acknowledgement email from Prime stating that “your LLC is on the way”, but without showing me any of the information I had submitted. A few days later, I received the completed LLC package. Once I had time to review the package and decided to try to open a bank account for the LLC, I discovered there was a single letter typo in the name of the LLC. I reached out to Prime about this and they told me they simply submitted exactly what I filled out on their form, and it would be $110 to file the correction with the state and they would also charge me a $100 fee. When I protested that they never gave me a chance to review the information submitted to be sure it was correct before they submitted it to the state, they only offered to waive their $100 fee, but still insisted that I would have to pay the $110 fee to the state. After exchanging several emails, with them, they maintained this stance. I also asked why they charged me $310, claiming they were doing this at only the fee charged by the state, and I have since found out that SC only charges $125 for an online LLC filing. I signed up with Prime Corporate Services in September 2024 to set up my business as an S-Corp. As a first-time business owner, I had no idea what steps were required, that’s why I paid for their service. I trusted them to properly set up my entity and guide me through the process.
I was told by Prime that my business was set up as an S-Corp in Sept 2024. But while preparing to file taxes at the end of the year, I found out that the S-Corp election was never filed with the IRS. I had to figure out what went wrong.
That’s when I learned about 2553 Form, which must be signed and sent to the IRS to make the S-Corp official. Prime never told me about this form. The only reason I found out about it was through their sister company, Incite Tax.
I should have been informed about 2553 Form and needed to sign and submit it back in Sept 2024, when I first enrolled. That never happened. Then in December 2024, ******* finally sent me the form—but only because Incite Tax had asked for it. That was the first time I had ever even heard about this form, and it was already the end of the year. Even then, he still failed to mention that I needed to sign it and submit it to the IRS. There was no clear instruction, no follow-up, and no explanation. How was I supposed to know this?
Because of the lack of instruction, I was hit w/ a $245 IRS late filing penalty. I explained my situation, ********* (Supervisor) said it was my fault for not knowing what to do & added, “It’s not a $2,000 fine, it’s $245,” which was rude. He also said he didn’t see how this was their fault. But isn’t that the whole reason we pay for their services—to guide us through this process?
I have proof the 2553 Form was never included with any of the other documents I received when my business was originally set up. I have email evidence showing that no one from Prime ever told me this form needed to be signed and submitted to the IRS. This was a critical mistake and to now be blamed for it is both insulting.Business Response

I participated in a webinar last Thursday 5/1/2025 through MTA and signed up for a trading LLC. My understanding was that it is free, but I came to find out that my Visa cc was charged $600?
$300 for my application and $300 for ***, my husband, because of a duplicate application???
*** doesn't even trade...I attempted to contact Prime several times to cancel the order and refund $600 to my VS cc. I haven't heard back from Prime

I paid for an estate plan service and had several appointments scheduled to go over the services that included a workbook that I completed. The first appointment the rep no showed me. After this the appointments were harder and harder to book sometimes months out. I had several emails with reception about rescheduling however this process took nearly over a year. I finally got on the call only to be handled by a VA and not an attorney. This VA barely spoke great English and was not able to answer a lot of my questions. I submitted for a refund and the Utah rep was not helpful. He made me compile my emails on the no show and reception. (They have all this data already) I sent my email about 4 months ago and never heard from them again. I am beyond unhappy with this service and was not given a refund.Business Response

I spent $7,250 withPrime 2/5/25-2/24/25, and not one service has worked how Prime stated it would.I paid these exorbitantfees because I thought I was paying for expertise, but I'm not getting guidance and expertise as I was led to believe that I ************ PLANNING: I want a refund on my estate planning. No one even showed up for the scheduled meeting.TAXES: ****** told me I would receive a level of service, which hasn't happened, and thatI would get 2 calls per year,which isn't true. They initially didn't give me access to the **** portal. I had to send multiple email requests. I can't join the ********* so I can't get my questions answered because that's the only way theyanswer questions. That wasn't mentioned ahead of time, either.FUNDABILITY: I waited almost 24 hours for Fundability to return my phone call, and in the meantime, I missed my windowfor a business opportunity to the tune of a $10,000 loss.CORPORATE STRUCTURE: I haven't been able to start buildingbusiness credit/capital yet after 3 weeks, and I've had to open 4 LLCs. That issue has been somewhat addressed, but it started being discussed on 2/18/25, and on 2/26/25, I still don't have my LLC set up. The online process is supposed to take only two days in **, and it's been over a week since I started talking to Prime about the problem.I've also lost about 30 hours of work time to generate leads over the past fewweeks, which is immeasurable in how much that has cost me. I can never reach anyone at Prime. It's always voicemail. I can't do my job and be available for the returned calls. There have been 22 phone calls and 52 emails from Prime over the past three weeks. I literally can't get any work done because I have to dealwith Prime problems constantly.I'm tired of never being able to reach anyone, people not showing up for meetings, not returning calls, not responding to questions for days ata time, and dragging out solutions for weeks. I have been in contact with Prime Corporate Service to get this resolved. I have contacted them about the $2,890 they have charged me promising me they would save me money. Subject: Complaint Against Prime Corporate Services I am writing to file a formal complaint regarding my dealings with Prime Corporate Services. I was introduced to the company through the Rainmakers platform, which endorsed them as a reputable provider of business services. My experience has been anything but satisfactory, leaving me feeling misled and deceived.On November 8, I connected with ** ********, who informed me about Primes services, including *** setup, business credit support, fundability coaching, and tax guidance. Despite having an ***, Mr. ******** insisted that creating a new *** through Prime was necessary to benefit from tax savings. He assured me that my Rainmakers course expenses (~$11,000) and Primes fees would be immediately deductible as start-up costs if I signed up. Based on these claims, I paid $2,489.95 for Primes services and additional monthly fees. I also entered a $3,890/year contract with Insite Tax.I later discovered several issues:False claims about tax deductions: Start-up costs are amortized over 15 yearsnot immediately deductible as claimed.Deceptive staff representation: I was led to believe ******* ****** represented Insite Tax, but he was another Prime employee.Unmet services: Promised services like fundability coaching were never provided.Incorrect paperwork: The *** dissolution forms provided by Prime were inaccurate, leading to additional costs.These instances of misinformation and unmet promises demonstrate unethical practices. I have already contacted the company, but my concerns remain unresolved.
