    On August 22, 2022, Riverfront Phase 1 entered into an agreement with Foundation Fitness to procure and install fitness equipment (Quote #FF8897) for its ******* Riverfront project. Riverfront Phase 1 paid a 50% deposit on September 9, 2022 in the amount of $98,142.96. The check was cashed on September 23, 2022 by Stages Indoor Home Cycling. We understand that Stages Indoor Cycling is an affiliated company of Foundation Fitness. Riverfront Phase 1s equipment order was supposed be delivered on August 1, 2023. However, on May 30, 2023, Foundation Fitness notified Riverfront Phase 1 that it experienced an unforeseen negative financial event and that it was closing its operations. No information regarding the status of Riverfront Phase 1s order or deposit was included. Riverfront Phase 1 sent several inquiries regarding its deposit or status of its order and has received no response. Riverfront Phase 1 has since confirmed with Matrix Fitness, the vendor that would provide the fitness equipment, that Foundation Fitness never placed Riverfront Phase 1s order or paid Riverfront Phase 1s deposit to the vendor. This is not acceptable and amounts to a breach of contract, conversion and fraud. To the extent Stages Indoor Home Cycling received Riverfront Phase 1s deposit and used those funds for its operations or otherwise, Stages Indoor Home Cycling is also liable for conversion and fraud, among other things.
