This is a commercial equipment financing agreement (EFA) and as a commercial agreement, it is not dictated by consumer lending laws and does not require APR disclosure. The equipment finance agreement is the most common finance contract used for financing equipment in the *** and is popular because of its straightforward language and format. Any contract payoff or prepayment is governed by clause 2 of the attached contract which states:
2. PREPAYMENT. You may prepay only as permitted in this Agreement. If We permit this Agreement to be paid off prior to the end of the full Term, You will pay Us the unpaid balance of this Agreement, including accrued but unpaid payments, discounted to present value at a discount rate not to exceed 5% per annum. You will make all payments whether or not You are satisfied with the Equipment and without deduction or offset for any claim or complaint You may have against the Supplier or against Us, our successors and assigns.
Any payoff of this contract is done using this method and that was applied and provided to the customer. The customer actually defaulted on their finance contract with us but surrendered the equipment in question. We sold the collateral and customer was credited to her unpaid balance. We have been in contact with the customer about the remaining balance due and all of this has been provided to the customer. If she wishes to have further disclosure, please have her email ***** ****** at ******************************** for further help.

In April 2024, I entered into a financing agreement with Centra Funding (Centra Leasing******) to purchase a $45,000 food trailer for my small business. Without clearly disclosing total costs, I was issued financing terms totaling over $85,000. I began making $1,300 monthly payments before the trailer was even delivered, which didnt happen until August 2024, several months late. When I requested payoff documents, balance breakdowns, or contract clarity, nothing was available in their online portal or emails. The contract contains extremely one-sided, harsh waiver clauses, and there is no clear disclosure of the total cost of the agreement. Despite multiple outreach attempts, Centra provided no assistance or flexibility while I was being billed for undelivered ************ date, Ive paid over $25,000 including my down payment and 10 months of payments, while still owing nearly double the trailers original value. This caused significant financial harm, including needing to take out a $30,000 401(k) loan to float my business through the winter. I have formally requested a renegotiation and received no reply. I believe this arrangement was predatory and misleading and I am seeking resolution.Business Response

The customer in question (**********************) signed the attached contract where they affirmed that they chose the vendor/supplier. Centra did not choose the vendor in question nor is Centra the supplier of the equipment purchased. This is like a customer complaining to the bank he financed his car with when he has an issue with the car. In addition, the customer signed an addendum to the contract (Acceptance of Equipment and Amendment to *** - see contract attached) which stipulates:
"Customer has requested that Secured Party advance funds in connection with the Equipment Finance Agreement prior to the equipment subject to the Agreement (the Equipment) being delivered to Customer. Secured Party would be unwilling to do so but for the parties mutual agreement to commence the transaction and the Agreement, and but for Customers promise that to timely make each payment as required by the Equipment Finance Agreement, regardless of any issues with respect to nondelivery, misdelivery, nonperformance or misperformance of the Equipment. Except as specifically modified herein, all terms and conditions of the Equipment Finance Agreement remain in full force and effect and are subject to the terms of the Equipment Finance Agreement."
Furthermore in this addendum under clause number 2 it states:
"In the event that Customer has any disagreement or complaint with respect to the Equipment, Customer shall look only to persons other than Secured Party or its assigns, and shall not assert against Secured Party or its assigns any claim or defense Customer may have related to the Equipment, its installation, delivery, nondelivery or misperformance.
Clearly, the customer chose the supplier of the equipment and gave Centra their signature and approval to pay the vendor prior to delivery. Also the agreement clearly states that the customer is aware that the equipment supplier/vendor that they chose is solely responsible for any issues with the equipment including any delays in delivery.

I acquired an equipment loan, purchasing a Skid Steer for $19,000. I made 13 on time payments with my business. Upon the sale of the equipment, I requested a payoff, in which they charged me $30. The payoff they provided was $26,500, an egregious and excessive amount. This is a corrupt and deceptive business model, and has no place loaning to the American public.Business Response

See attached signed customer contract.
All payoff formulas for Centra Funding, LLC and 4 Hour Funding contracts are governed by Clause 2 of the Equipment Finance Agreement signed. This clause states:
"You may prepay only as permitted in this Agreement. If We permit this Agreement to be paid off prior to the end of the full Term, You will pay Us the unpaid balance of this Agreement, including accrued but unpaid payments, discounted to present value at a discount rate not to exceed 5% per annum. You will make all payments whether or not You are satisfied with the Equipment and without deduction or offset for any claim or complaint You may have against the Supplier or against Us, our successors and assigns."Definition of Present Value: Keep in mind that Present Value (also known as PV) is an accounting calculation. It is not a simple math calculation that be performed on a calculator, however, there are many online Present Value calculators on the internet for your use. Present Value (PV) is a formula used in Finance that calculates the present day value of an amount that is received at a future date. The premise of the equation is that there is "time value of money". Time value of money is the concept that receiving something today is worth more than receiving the same item at a future date. The presumption is that it is preferable to receive $100 today than it is to receive the same amount one year from today, but what if the choice is between $100 present day or $106 a year from today? A formula is needed to provide a quantifiable comparison between an amount today and an amount at a future time, in terms of its present-day value.
Equipment finance contracts are meant to be paid over the full term contracted. They are not a credit card which can be paid off whenever the customer decides. That is why the contract states "If We permit this Agreement to be paid off prior to the end of the full Term". Centra followed the exact dollar figure of the payoff per the "Present Value" calculation and did allow the customer to pay off the contract early. We followed the contract per clause 2.

I had to close my business, therefore I reached out to Centra funding with a hardship and ask for a deferment. I called several of times and no one called me back for months, yet I kept getting bills to tell me that I was behind in my payments. When I finally reached *********** told them my is***, they said someone will call me but never did, this happened 2 times. When someone finally called they were rude and told me I need to pay or it'll go on my credit and that I will get ***d. Well both happened. But before that when I told this rude person about a deferment she said the only way to get it is to declare I have a hardship, but I will still need to make the full payments. NOW WHAT SENSE does that make? That's not helping me at all. Well when I got the letter that I was being ***d, they lied & said I refused to pay which is completely false. I spoke to someone a week before I received that *********** discussed that I could sell the machine then I could pay them back. I agreed to do that; however the letter came to *** me. I also told him I could pay $100 a month and he said no. SO, I clearly tried to pay. I will like for this to be taken off my credit per 15 U.S. Code 1666b and 15 U.S. Code 1681b(a) and the lawsuit to cease in which I will pay the $100 to month. I have paid over 70% of this loan down, at least they could have settled with me a lower payoff price to settle the rest. I wish I would have read these reviews before I went with this company.Business Response

Customer signed a valid contract for $35,000 in equipment on 12/18/20. After her initial payment needed to start the contract, her payment terms were for 47 payments of $1038.73. Customer has defaulted on the contract and was provided with numerous reminders via collection agents and given written notices on several occasions. ******** stated that they decided not to renew their real estate lease for the business property and that is why they stopped making their payments per the contract. Her credit was still very much intact, and no evidence of hardship or inability to pay could be found. Our collection agents did contact ******************** and informed her that we could accept credit card payment to keep the account current. At that time, the customer had 4 open credit cards with more than enough room to take care of the past due and remaining balances. ******** responded that she would rather owe Centra the money than her credit card company. She at that time again refused to bring the account current.
Per clause 10 of the attached agreement, the customer has clearly defaulted and *******************************************, LLC is merely seeking the remedies as allowed under the contract signed by ********************.

I am rejecting this response because: Their response is not 100% correct, I have recordings to prove it. I did have a conversation several of times to let them know I had a hardship, but they told me I can tell them I have a hardship but I would still have to pay the monthly payment. If I have a hardship, how can I still keep paying? Also, because YOU cant find evidence of hardship, I have recordings of me telling someone about my hardship. That doesnt even sound right, it doesnt make sense at all to still pay if I have a hardship. Also, I did not receive several notices. The name of the business and the address of the business doesnt even match up. I found out about this through a phone call from them in which I told them my business closed, not decided not to renew their real estate lease for the business property. For several of days no one would call me back after I explained the hardship and I am the one who kept calling them trying to make arrangements before it was sent to collections. They only called a couple of times which was from collections and when they called, it was straight harassment, they were not listening to me trying to make a payment plan. All they kept telling me was that I have 4 credit cards I can use and I told them why would It be possible to put more debt on me and raise my DTI just for them? If I did that, I would be owing more companies than just them. I asked them about several other ways I could pay but they denied each one. I could see if I didn't try, but I did on several occasions. Their words are so inaccurate, saying I refused to bring my account current, I did not refuse, I truthfully tried to make arrangements.
To be clear, I know and truly aware that I owe; however, my issues are that this company gave no alternatives for me to make small payments for me to catch up. I tried so hard to make it work until they sent me to collections without taking any of my means to pay it. They are not the only company I owe since I went out of business, but the other companies came up with solid plans and I am fulfilling them because we agreed on it and made a plan, Centra did not. I thought this would be a good way for mediation or come up with a solutions, but I see you are denying that your company has not taken any fault to work with me.
We dont have to go back and forth because like I said, I have recordings.

A promise of $100 per month was deemed too low and nominal in nature. In addition, it did not appear that the customer had any impairment in their ability to borrow (from credit cards, banks, etc...) to maintain their payments as per their contract. ******** said that they were unwilling to borrow money from other sources to maintain their Centra account. As per our contract with the customer, ******************** followed the legal terms in deciding to pursue litigation with the customer. Customer can contact our legal department at any time to come to a resolution of this past due balance.Customer Answer

I am rejecting this response because: Even though they said in their response $100 was too low, it clearly states that I did try to come up with a payment plan which shows they were not truthful in their rebuttal. Also, I wasn't willing to borrow from the bank or credit cards; however I did have other means in which I was going to start paying the $100 with. Because I didnt take the money from where they wanted me to take it from, clearly they had a problem with it.Initial Complaint

The customer (New ************************* owned by ********************* selected the vendor and Centra was not involved in his decision to choose the vendor which did not deliver his equipment. Furthermore, clause 3 of the attached contract (see attached) with the customer states:
3. WARRANTY DISCLAIMER: WE MAKE NO WARRANTY, EXPRESS OR IMPLIED, WITH RESPECT TO THE EQUIPMENT
AND DISCLAIM ALL SUCH WARRANTIES INCLUDING ANY IMPLIED WARRANTIES THAT THE EQUIPMENT IS FIT FOR A
PARTICULAR PURPOSE OR THAT THE EQUIPMENT IS MERCHANTABLE. YOU AGREE THAT YOU HAVE SELECTED THE
SUPPLIER AND EACH ITEM OF EQUIPMENT BASED UPON YOUR OWN JUDGMENT AND YOU HAVE NOT RELIED UPON ANY
STATEMENTS OR REPRESENTATIONS MADE BY US. WE DO NOT TAKE RESPONSIBILITY FOR THE INSTALLATION OR
PERFORMANCE OF THE EQUIPMENT. THE SUPPLIER IS NOT AN AGENT OF OURS AND NOTHING THE SUPPLIER SAYS OR
DOES CAN AFFECT YOUR OBLIGATIONS UNDER THIS AGREEMENT
In addition, Clause 2 of the Acceptance of Equipment and Amendment to EFA (the Amendment), it states:
2. In the event that the customer has any disgreement or complaint with respect to the Equipment, Customer shall look only to persons
other than Secured Party or its assigns, and shall not assert against Secured Party or its assigns any claim or defense Customer
may have related to the Equipment, its installation, delivery, nondelivery or misperformance. In short, we sympathize with the customer's situation, but we paid the vendor/supplier at his direction and approval and we are not bound to the performance of the vendor/supplier.

They are unfit to the legality of contracts. - force you to have insurance on equipment that is not yet built or in a position to have required insurance. - so many departments not having the deal on the same page.- referring you back to a contract clause but yet making up a grace ****** without notification on the contract. -setting up clients to pass this grace ****** /late payment frame to steal 15% fees/fines of payment.- called to get one late fee waived as I had no Idea this would happen and some how postpone the authorization to process payment on Friday until Tuesday to make sure they pocket $491 on the next payment. My payment was there a day after the due date. Would I want to be this stupid to give away my money as a late fee. They saw it fit to due this shady business and take my money. - send a false threatening text message to advise I was 33 days late and they would pick up the equipment if payment was not received. My payment once again was taken 6 days later when they were approved to take it 4 days after and they supposedly process the next day. Obviously i would have been in my grace ****** for both months that they charge me a late fee if they didnt wait to process late on their end on purpose. They have set me up to intentionally take these false late fees. ***************************** **********Business Response

Response to complaint are as follows:
1. All equipment (even partially built equipment) is required to be insured. Even partially built equipment can be involved in fires and theft at the manufacturer location and sometimes their insurance does not cover the loss. Also, we cannot track when the manufacturer has started, begun or even completed their build of any new vehicle or equipment.
Furthermore, clause 6 of your contract (see attached) states "COLLATERAL PROTECTION AND INSURANCE: Until this Agreement is terminated, You agree to keep each item of Equipment fully insured against loss, naming Us and our successors and assigns as loss payee, in an amount not less than the replacement cost or each item. You agree to obtain a general public liability insurance policy acceptable to Us and to include Us as an additional insured on the policy. You agree to provide evidence of insurance acceptable to Us, before this Agreement begins, prior to each renewal, and no later than 30 days after we request proof of insurance. If You fail to provide Us with evidence of insurance, as required under this Agreement, We have the right, but not the obligation, to obtain insurance on the Equipment in such forms and amounts as We deem reasonable to protect Our interests. You agree that, if We obtain insurance on the Equipment, said insurance will not name You as an insured and may not fully protect Your interests. You agree that, if We obtain insurance on the Equipment, You will pay Us an Insurance Charge for the insurance premium, which may be substantially higher than the premium that You would pay if You obtained said insurance. You agree that the Insurance Charge will also include administrative and processing fees, which will result in profit to Us and Our agents. You will use the Equipment only as permitted by law and such insurance". Any fees added due to this are in accordance with the agreement.2. Regarding selection of due dates issue customer stated: Due dates are disclosed on page 1 of the document and the customer specifically initialed their understanding of our due date policy. In the attached contract on page 1, section 3 it states "My first payment due date and interim period will be a minimum of 18 days from the time the Agreement is signed. In the event the 18th day is a weekend or holiday, my due date and interim period will be the first business day after the 18th day. Customer understood this at time of ********************. Additionally, all late fees and their cost is located in the main agreement on page 3 in clause 1.

Centra is impossible to work with. We purchased equipment that was financed through this company. They charged interest to the principal amount on the loan. We have been making monthly payments but are ready to pay off our remaining amount. They have given us the runaround, they will not give us a payoff amount unless we pay $30 then have to wait 5 business days. If you ask questions they simply dont answer because they know they are in the wrong. They have hung up on us when we ask questions. We made a clear mistake entering into a contract with this company. They should be shut down.Business Response

Customer (****** May ****** & *************************** ****** dba **************** signed an equipment finance agreement with Centra on 4/15/22. Contract clearly states that THIS IS AN IRREVOCABLE AGREEMENT AND CANNOT BE CANCELLED OR TERMINATED. The contract is meant to be completed in full and per clause 2 of the contract:
Per clause 2 of the contract, early terminations or payoffs are allowed only if we permit the agreement to be paid off early. Calculation of the payoff does require use of someone at our accounting department to calculate the payoff (per the method in clause 2) and someone to verify the calculation. Centra does require to be compensated for this optional request of the customer and we charge only a nominal fee of $30 for the service. Obviously, $30 does not even cover our employee costs for our accounting personnel to perform this service, but we have tried to keep the cost down as much as possible. In many cases, customers request payoff calculations but never follow through in paying off contracts. If we did not at least partially cover the cost of this service, our other customers unfairly would have to bear the additional costs for those requesting payoffs.
This process is fair and kept to a very low and nominal value ($30). It is hard to believe that anyone would make a BBB complaint about such an issue but hopefully this explanation will help everyone understand better.
A copy of the customer contract is attached for review and verification.

I was trying to finance a piece of equipment for my business. I went through many different people and applications and was very exhausted by the time I got this approval, I was told verbally I could payoff the loan early without penalty when I was approved through CentraFunding. I did not do my due diligence in having my lawyer look over the contract because I was assuming good faith in words everything was fine, however I will not make that mistake again as I learned they make you pay the financing rate regardless of early pay off with a tiny deduction, therefore the interest doesnt fall off like a normal loan- please do not make my mistake because this was not explained to me. I waited a few more months after making more payments to request a new payoff quote hoping it would be down to something I could afford and they now will not let me receive one without me paying a new added fee that wasnt discussed previously. I could do the calculations in ten minutes myself but in order to complete the payoff a request has to be done. This charge is not in my contract and *********************** and ***************************** do not seem to want to help. Any dime this place can possibly steal from your pockets, they will. Please take my advice, really read my review, and warn other DO NOT do business with them for your own sake. Worst mistake *** probably ever made for my business. Their reasoning is that it costs more than this in accounting to generate a request, I can do it in ten minutes easily. Whatever they can say to funnel money to themselves from their customers. When I first went through them I was also told I could generate this request from their app or website for no charge and now the website doesnt allow it. Using the website is also always an issue as well, it never works correctly.Business Response

These (equipment finance contracts) are not mortgages which provide "no prepayment penalty" features. Unlike mortgages which collect large fees up front and can offer these features, equipment finance companies do not collect large fees up front and do not offer "no prepayment" penalties for early payoff. In fact, our finance documents specifically states in bold print the following on clause 2 of the contract signed by the debtor:
2. PREPAYMENT. You may prepay only as permitted in this Agreement. If We permit this Agreement to be paid off prior to the end of the full Term, You will pay ** the unpaid balance of this Agreement, including accrued but unpaid payments, discounted to present value at a discount rate not to exceed 5% per annum.
The payoff request the customer was offered was exactly per the terms of this clause and our agreement with the customer (see attached agreement).

I am rejecting this response because they only submitted a response to the first part of my complaint. I stated I was misled on terms and admitted not doing my due diligence because of the misleading guy I contracted with in the loan, however- my main complaint, the one I am seeking to be fixed is they will not send me a payoff request without charging me money and that is NOT in my contract. I will not pay for one and yet I need it. A payoff request is needed for me to pay off the equipment and it is supposed to be given free of charge and accessible on the website/app. Neither the website or app ever works for me due to error of the company not myself.Business Response

Payoffs are provided at Centra's discretion per your finance contract and only allowed "if we permit" - see clause 2 of your Equipment Finance Agreement already uploaded. It reads:
2. PREPAYMENT. You may prepay only as permitted in this Agreement. If We permit this Agreement to be paid off prior to the end of the full Term, You will pay ** the unpaid balance of this Agreement, including accrued but unpaid payments, discounted to present value at a discount rate not to exceed 5% per annum. No where in the contract are we required to provide a payoff to the contract. Technically, Equipment Finance Agreements are meant to go full term. As a courtesy to our clients we will perform these services, but we do ask for a small fee ($30) to cover the accounting cost to produce the present value calculation of the payoff.

The refunded money was credited to his account and covered his payments for a period of time, but now his credit has been exhausted and the remaining balance is due.
Customer Service note is below:
Customer told he's still responsible for the balance due and the monies we got for the equipment were applied to the account and that's why payments weren't due for a while. I told him his payments are due on the 21st each month and that they'd continue.Initial Complaint

The Company Centra Funding received payments, per ACH lease from my previous company, The Garden ************* LLC for the lease of a food trailer that the company, The Garden ************* LLC didn't receive for several months in 2022. After The Garden ************* LLC received the food trailer in 2022 it was plagued with problems and electrical defaults and Centra Funding would not send in the proper hard plates or paperwork, giving us the runaround for months. The Garden ************* LLC could NOT make any money for safety reasons from the food trailer. The manufacturer and Centra Funding did not and still does not stand by their word of repairing the defaulty food trailer or even returning our calls or messages in regards to the food trailer. The Garden ************* LLC has proof of trying to make payments on the food trailer, even in its unsafe condition, however Centra Funding did not accept the payments. Today, Centra Funding is threatening to repo and auction off the unsafe food trailer. Centra Funding is currently not responding to any of our emails in regards to picking up the food trailer. It is currently in a secure facility with passcodes, however we are paying monthly fees for the food trailer that Centra Funding is threatening to repo and not speaking to us. Centra Funding has said that the lease agreement is charged off and closed out as of March 31, 2023. However, they submitted a new bill for ***** of 2023. The Garden ************* LLC also offered a buyout of the unsafe food trailer in March of 2023. However, Centra Funding would NOT accept the offer, however maintains that they will auction off the food trailer and any remaining balance would be billed to me. This is a complete outrage. Please help. Thanks.Business Response

Furthermore, customer signed financial contracts which specifically state (see attached documents):

AND DISCLAIM ALL SUCH WARRANTIES INCLUDING ANY IMPLIED WARRANTIES THAT THE EQUIPMENT IS FIT FOR A
PARTICULAR PURPOSE OR THAT THE EQUIPMENT IS MERCHANTABLE. YOU AGREE THAT YOU HAVE SELECTED THE
