I sing up with company in 2023 . For fuel discount program only. They where trying to get me to use with for factorying also . But I declined the offer. But in 2025 june 27 I try to sing up different factorying company. Then I come to find out. That fleetsmarts already filled my UCC. Without my permission . When I asked for proof of contract copy. I would also like to clarify that a UCC-1 filing does not require authorization from the debtor. However, because some companies in the industry have been spreading misleading information about UCC filings, we now secure express authenticated records to defend ourselves. Please know it was never our intention to cause frustration—we are simply protecting our business from misinformation that, unfortunately, seems to have reached you.
It’s important to address two key points where other companies may have misled you:
-A UCC filing does not block you from factoring with other companies.
-A UCC-1 filing typically does not require explicit consent when credit is extended.
We believe it’s critical to recognize where this misinformation may have come from because trust built on false claims could lead to further complications.

Michelle: "So we're gonna be sending you an email for that."

"I, yeah, I, I can use like, prepaid, right?"
"Yes, you can also do prepaid but in the future you can definitely let us know whenever you're ready to open up a credit line. We just need to do factoring, or you can just look for a different factoring company if you want, OK?"
This conversation confirms that you were informed about the UCC-1 filing as part of our process to offer you a future fuel credit line and that there was acknowledgment and no objection from your end during that call. While you may not have used the fuel card or factoring service afterward, the UCC filing was validly initiated following standard industry protocol and verbal agreement to explore our offerings.
Some of our competitors have been falsely claiming that Fleetsmarts prevents carriers from factoring with other companies. Why would we do that? Our UCC-1 filing was in place to enable a future fuel credit line—not to restrict your ability to do business elsewhere. If another factoring company is advising you otherwise, it may be a strong indication they are trying to pressure you into removing our filing so they can lock you into their services—often at higher rates and without transparency.

Sometime in December, 2024, I was contacted by ***** of Fleetsmarts, **********************************************, with an offer for insurance, factoring, and a fuel line of credit. *****, is an account manager based in ********** and works for Fleetsmarts remotely. I had just registered my trucking company. I advised ***** I was looking for quotes and was not ready to move forward as I was in the process of purchasing my truck. He made follow up calls in February and April, and I kept telling him I was not ready. In all these instances, there was no agreements in place, just conversations. My team and I have been shopping around and found a company that will cater to our needs. Upon processing our insurance with a company of choice, I was advised that we need to get a Letter of Release from Fleetsmarts. This is the 1st time my admin or I heard of anything binding. Upon reaching out to Fleetsmarts, were told we verbally agreed to work with them once we were ready, they have filed a UCC1 for us and we have to work with them for at least *********************************** authority to make such filings on our behalf without our knowledge and was told our continuous conversations were binding. I asked for the contact they allege we signed or agreed to these terms. All I am getting is it was a verbal agreement and now they want $500 and a signed document. Only then can we get the release letter we seek, plus that process for the release takes 45 days regardless. Should, we want to terminate our contract we have to pay them $500 and still wait 45 days. As long as the UCC-1 filing is properly managed, you are free to work with any factoring provider, provided the terms are clear between all parties.

After reviewing your account and the recorded call that took place on May 29, 2025, at 11:16 AM with our Senior Account Specialist Janlord and your Account Manager Prince, we would like to clarify the details of your interaction with Fleetsmarts.
During the call, our representative explained that, as part of the process of setting up a fuel credit line with no credit check, we file a UCC-1 financing statement with the state. This is standard protocol for establishing a fuel line of credit.
At the time, Janlord stated:
“To prepare everything in our system and to open up a credit line for the fuel card in the future as well, we file what's called the UCC one to register us with the state as the payee and allow us to open that fuel credit line for you, OK?”
To which you responded:
“OK.”
He then followed up by informing you:
“Now we sent you the email, sir. Check that later and make sure everything looks good to you.”
This exchange clearly shows that you verbally agreed to proceed, and it is on this basis that we initiated the UCC filing. Those follow-up actions justify the UCC filing in accordance with federal and industry standards.
We would also like to emphasize that our UCC filing does not restrict you from working with other factoring companies. Many carriers we work with have UCCs filed and continue successful relationships with their preferred partners. However, if your factoring company requires the UCC to be released, we have provided two clear and reasonable resolution options:
-Pay a one-time $500 administrative fee – The UCC will be terminated after 45 business days.
-Use the Fleetsmarts program for 60 days – You will receive a free and immediate release after completing the 60-day term.

I am filing this complaint to warn others and to document a deeply unprofessional and possibly fraudulent experience with Blue Water Capital/Fleetsmarts. I have become the target of what appears to be a verbal UCC scam. I have repeatedly requested a Letter of Release (LOR) due to an unauthorized UCC-1 filing that is preventing me from setting up with factoring company. Despite asking for proof of a signed contract that would justify this filing, the company failed to provide any documentation. They record your conversations with the representatives and then use those conversations to claim you agreed to use their services, but they provide no notification of you being recorded so beware- they are illegally recording and using these conversations against you. They then refuse to speak with you when you start recording the conversations. I have since been subjected to repeated harassing phone calls. The representative named "******" now only calls and remains silent before hanging up because I have started to record our phone calls amidst all the bad reviews I have read. They refuse to provide an invoice for the $500 they claim they need to release the LOR but fail to provide an invoice or receipt for payment received, has not provided any written proof of a contract or transaction or agreement, and is not responding professionally. I have exhausted all reasonable attempts to resolve this issue. Given the unresponsiveness and suspicious conduct of this company, I have now filed a police report and am pursuing legal action. I am also submitting formal complaints to the FTC, CFPB, and state authorities.

I am rejecting this response because: I am not interested in conducting any business with Fleetsmarts or Blue Water Capital. The UCC-1 filing was made based on a verbal agreement, without written consent or supporting documentation.
To date, Fleetsmarts has failed to provide any valid documentation substantiating the lien. As you are aware, UCC Section 9-611 requires that a debtor be informed and provide consent prior to such a filing. Filing a UCC-1 without such consent and notice is a clear violation of this provision.
I am therefore requesting that you promptly issue a Letter of Release to terminate this unauthorized UCC filing.

In fact, during your recorded onboarding call, the process of filing a UCC-1 to open a fuel credit line was explained, and you acknowledged and accepted it without objection.
Here is a portion of the call transcript:

Fleetsmart blue water capital has illegally filed a ucc on my name and business. They snuck in a factoring application in the same docusign as the fuel application. We have asked nicely, screamed and yelled and have tried everything for them to release our ucc. We do not want to do factoring with us. They tricked us. This company is a scam! And they are based over seas in the Philippines and they are doing illegal practices. Please help me get my UCC released!!! To simply ask someone to send additional information to review is not intent, that is research to see if what is offered is something we are interested in and aligns with our company. We already have a fuel account which is what I expressed last year but the rep wanted to send additional information. We will not use services from a company with shady business practices and will not pay $500 to have the LOR completed when we are not contracted with you. My husband and I started a hotshot trucking company and were cold-called by a representative from Fleetsmarts names ***. He offered us a fuel card and factoring. We clearly told him we already had a factoring company and were only interested in the field card. He asked if he could place a UCC-1 lien on our business, we didn’t understand the implications, and my husband said only of it didn’t interfere with factoring through Truckstop. *** assured us it wouldn’t. We never signed a contract or activated the cards. But shortly after, Truckstop notified us that they couldn’t factor for us because of the lien placed by Fleetsmarts. We called Fleetsmarts, and *** said we have to pay a $500 administration fee to get a letter of release. We felt coerced into paying it so we could move on with our business. The wire transfer instructions listed Blue Water Capital, but the bank could not verify the legitimacy of their listed addresses. We were not allowed to speak to anyone from Blue Water Capital and *** would not return our phone calls. They promised we would receive the letter of release on the 16th and they did not send it. To further clarify, during the recorded phone call on April 10, 2025, our Account Manager explained the UCC-1 filing process in connection with the fuel credit line. Here is a portion of the transcript from that conversation:
Senior Account Specialist: “Just to your friends and families, alright, so we can start with the fuel card so you can see how everything works and while waiting for the fuel card to arrive since you're based here in the state of Texas to prepare everything in our system and to open up a credit line for the fuel card is we file what's called a UCC one to register us with the state as a payee and allows us to open a fuel credit line for you, OK?”

On January 29th 2025 I received a phone call from fleetsmart an offer for fuel card for my new business. After the phone call ended they sent me email to sign their agreement. I never signed their agreements, never contracted with them also never used their fuel cards . They proceeded to file ucc for my company claiming that they have recorded voice as agreement. When I asked a termination letter they said that they have only 2 options for me
1: pay $500 and get termination letter after 45 days
2: to work with them 60 days and get termination letter for free.
Fleetsmart is forcing me to do business with them otherwise I would have to pay for a business that I have never used . We sent almost everyday email requesting to terminate the ucc they filed which it seems that they are ignoring.

I'm sorry you feel this way, but I’d like to clarify what actually happened after reviewing your account and the initial call you had with our General Manager, *******.
During that call, ******* explained that in order to open a fuel credit line with no credit check, we would need to file a UCC-1 to register with the state. He said, “To open up a credit line for fuel we file what's called a UCC one which registers us with the state as a payee and allows us to open that fuel credit line with no credit check needed, OK *****?” and you responded positively.
He then followed up with, “We just sent the email with some details. Look that over if you can when we get off the phone and make sure everything looks right, OK *****?” and you replied, “Oh, alright, thank you so much.”
That clearly shows you understood and agreed to move forward. As we sent the agreement by email right after the call.
Even though you didn’t sign electronically, your verbal confirmation and our follow-up justify the UCC filing. That filing secures the credit line that was opened and does not prevent you from working with another factoring company. If that company requires the UCC to be removed, we’ve offered two options: pay a $500 administrative fee for immediate termination, or use the program for 60 days and receive a free release.
We’ve responded to your emails and clearly explained these options. Due to file limits on the BBB site, we can’t upload the MP3 file of the call, but it’s on record and confirms what was agreed.
