In September 2024 I was contacted by a representative for Fleetsmart, regarding a fuel card. While speaking with the representative over the phone, I never agreed or signed any documents in accepting a fuel card and they signed me up without my permission. They did an unauthorized UCC filing with my company. On June 9th, 2025, I reached out to Fleetsmart regarding this issue, and I spoke with a manager name ***** *******. Ms. ******* proceeded to let me know that in order for me to dismiss the UCC filing transaction I would have to pay $500 dollars. My company's name is WOO Logistics LLC, the phone number is ************ and the email address is ************************ and I would like to resolve this issue by terminating the unauthorized UCC filing. We’re sorry you feel this way. Fleetsmarts does not open credit lines or file UCCs without informing the customer. In this case, Mr. ****** was speaking with our representative ********, who clearly explained the process of opening a fuel credit line and the filing of a UCC-1. Mr. ****** acknowledged this during the call.

********: “So in Texas for us to be able to open up a credit line for fuel we file what's called the UCC one which registers us with the state as a payee and allows us to open that fuel credit line, fair enough.”
Mr. ******: “Open up the line.”
Mr. ****** then asked: “You need what you need, I need what again?”
******** responded: “We do file UCC one, which registers us with the state. Basically it’s a notification that we’re gonna be doing business.”
Mr. ****** replied: “Oh OK OK.”
******** clarified: “Normally there’s a fee for that, but you don’t have to worry, we’ll take care of that for you.”
******** informed Mr. ****** that a fuel card would be sent within 5 to 7 business days. The process for establishing a fuel credit line, including the UCC-1 filing, was disclosed during this same conversation. Due to file restrictions on the BBB site, we can not upload the MP3 file, but this information was clearly communicated and acknowledged during the call.
The $500 fee mentioned refers to the standard cost to remove a UCC filing when early cancellation is requested after credit is extended.

My company, *********** ******* ***, owned by ******* *******, discovered FleetSmart filed an unauthorized UCC-1 lien against us in California on [march/2024].
FleetSmart claims this lien is based on signed or verbal agreements. I, ******* *******, the owner, never authorized or signed any such agreement, Any alleged agreement is therefore invalid and non-binding. My company has never used or agreed to any FleetSmart services.
Despite this, FleetSmart refuses to remove the illegitimate lien unless we pay $500 or use their services for six months. This is extortion for the removal of a lien they had no right to file. This unauthorized action severely harms my company's credit and operations.
Resolution Sought: I demand FleetSmart immediately file a UCC-3 Termination Statement to remove this lien in California, at no cost to my company. They must also cease all demands for payment or service related to its removal.Business Response

I am writing to formally file a complaint against ********** regarding an unauthorized and inappropriate *** lien they have filed against three separate businesses that I own.********** mailed me a fuel card that I have never activated, never used, and have never received any funding or services from them. Hi team fleetsmart, one of your agents contacted me some time ago to provide me with some diesel discount cards. They never mentioned a Factory contract.
Now it turns out I'm in a factoring contract with you, and in order for you to remove me from that contract, I need to pay the $500 invoice, which seems incredibly unfair to me.

The UCC filing was initiated as part of the credit line infrastructure required for offering fuel and factoring services. As previously communicated, you are not being billed for any service usage, only for administrative processing and contract setup, which was completed in good faith.
We have clearly outlined two resolution options:

You mentioned that you're now looking to factor with another company. Please know that we do not prevent customers from working with other factoring companies. Many carriers factor elsewhere even if we have a UCC filing in place. The issue here is that the company you're trying to work with is choosing not to accept your application because of the UCC, even though it is common for factoring companies to work around existing UCC filings.
This is what we are offering you:
1.Pay a $500 administrative fee, which covers both the original cost to file the UCC and the labor required to properly terminate and release it. After payment, we will initiate the UCC release and coordinate with your preferred factoring company to provide confirmation within 45 days.
2.Alternatively, you may choose to use our factoring service for 60 days. During this time, we will offer 0% for the first 30 days and 1.5% thereafter. Once the 60-day period is complete, we will issue a full and immediate UCC release with no additional fee.

the original owner of the company wanted a fuel card which required factoring services we have been asking for a letter of release since February 17th and still haven’t gotten one and our contract expired on April 16th we gave notice we were not renewing and every time we call to talk to jasmine our account manager she never calls back we would like to end services as the broker we deal with pays out daily and this was explained to multiple customer service agents and jasmine as well you can look up the account expedite trucking llc and see our broker pays out daily you guys get paid before we do we wish to end services immediately so we can continue to grow and thrive a customer agent Juan told me and my business partner yesterday that we have to wait 45 days for a letter of release and can not factory any loads in that time which would cause us to go out of business I have this conversation recorded all we ask for is a letter of release so we can move on

Hello,I am writing Fleetsmarts/Blue Water Capital to provide an immediate termination letter for my business ******************* I have fallen victim to an ongoing verbal UCC scam that unethically targets small trucking companies . I never signed an agreement that authorized them to file a *** on my business. They claim we have a verbal agreement from an unsolicited cold call from their company and sent me an email (which is not an agreement) that authorizes them to file a lien on my business. They are trying to force me to do business with their company or pay them $500 to release their unauthorized *** filing. Many trucking companies have experienced the exact same treatment from Fleetsmarts/************************** can see an unethical pattern of this with Fleetsmarts/Blue Water Capital on the Better Business Bureau website. Weve reviewed your claims and need to correct several inaccuracies.
First, you did authorize the *** filing when you agreed to receive the fuel credit line. Our representative ******* explained that the ***-1 filing is part of the process to register Fleetsmarts with the state as a payee. This filing is required to open the fuel credit line on your behalf. You agreed to this during a recorded phone call, and we sent a confirmation email to ********************************.
Due to file restrictions on the BBB site, we can not upload the MP3 file, but here is the exact transcript from the call:

We also want to make it clear that Fleetsmarts does not prevent you from factoring with other companies. The *** filing is strictly related to the credit line for fuel and does not interfere with your ability to choose other financial partners. If another company told you otherwise, they may be using that tactic to mislead you into removing our filing so they can bind you to their own services.
Unfortunately, this type of manipulation is common among older factoring companies that struggle to compete fairly. Many of the negative BBB reviews we receive follow threats from customers who demand that we void valid agreements or else they will post false claims. This pattern is well documented and does not reflect any wrongdoing on our part.

On March 17th 2025 I was contacted about an offer for a line of credit on a fuel card for my transportation business. I declined the offer for a line of credit and Fleetsmarts proceeded to file a **** on my company making it impossible to factor with any other company. They claim that I agreed to the filing of the **** on a phone call recording that I was not made aware of. After obtaining a copy of the phone call from Fleetsmarts, as well as listening to the call with my attorney, its very plain that I refused a line of credit and that this filing is indeed fraudulent. I asked Fleetsmarts for a letter of release and they said that I could only have an *** if I paid $500 or if I agreed to use their services for 6 mos. Afterwards if not satisfied, they would send the *** within a period of 45 days. I am currently working with my attorney and the state police to resolve this matter.Business Response

The $500 administrative release fee exists because the ***1 filing process involves legal, compliance, and administrative resources. Its not just a piece of paperits a legally binding filing that requires careful handling and removal through the appropriate state channels.
To clarify, we are not here to force you to conduct business with us through a ***. Fleetsmarts does not prevent you from working with any other company. A ***-1 filing is not a lien and does not block you from factoring or doing business elsewhere. If another company has told you otherwise, they are either misinformed or deliberately misleading you. Around Oct. Of 2024 I received a call from amer, about their fuel card benefits. I actually considered signing up for the discounts. I never had a need for any factoring services at the time, so it was mentioned, but declined. Now, fast foward to the current week, I'm being told that I have a UCC filed and is pretty much forced to conduct business with fleetsmart otherwise I'd have to pay a termination fee for a service I've never used. Per contracted statement, a Carrier shall be free to leave if all doubts are satisfied. I don't owe a doubt to fleetsmart, but I'm being charged a termination fee.Business Response

We understand that you are now choosing not to do business with FleetSmarts/Blue Water Capital and are requesting the removal of the UCC-1 filing. However, it's important to note that you initially showed interest in our services and even mentioned that you were considering signing up for the discounts we offered. As part of the process to open a fuel credit line for you, our Senior Account Specialist clearly mentioned the UCC-1 filing, which is required to establish that credit line.
For your reference, here's an excerpt from the recorded call that confirms your consent:

“Yeah, we’ll go ahead and request this card, sir, so you can give them a try. And then meanwhile, while you are waiting for them to arrive—since you're based here in the state of [SECRETARY]—I will prepare and open up that fuel credit line for fuel as we file what’s called a UCC-1 to register us with the state as a payee. It allows us to open a fuel credit line without doing any credit check, OK?”

Again, we are not here to force you to conduct business with us through a UCC. FleetSmarts does not prevent you from working with any other company. A UCC-1 filing is not a lien, and it does not block you from factoring or doing business elsewhere. If another company has told you otherwise, they are either misinformed or deliberately misleading you. Unfortunately, this type of misinformation is common in the industry.
If we had opened a credit line accidentally without your consent, we would absolutely take responsibility for that and cover any associated costs. However, in this case, we have both a recorded call and written communication where you requested the credit line and acknowledged the UCC-1 filing.
We charge nothing for opening the line—it costs us money, and we do it in good faith, hoping you'll choose to work with us. Unfortunately, due to some dishonest competitors misleading customers (and the BBB allowing such practices), we now clearly explain this step during the onboarding call.
That said, there is no cost or obligation to keep the credit line open. However, some factoring companies require clients to close existing credit lines—regardless of the impact on your business—just to work with them. While we disagree with this practice, it’s ultimately your decision.
We are happy to close your credit line with no fee.
However, if you require an official Letter of Release along with legal filings through the Secretary of State (which incurs legal preparation and state fees on our end), this request does come at a cost. Our standard fee for producing these legal documents and processing the state release is $500 with a 30-day processing period.

After carefully reviewing our records, including the portal and the documentation associated with your account, we found that you have a signed agreement on file. Based on that, the early termination fee for your account is $2,500, not $500.
It appears there may have been some confusion due to multiple accounts under the name ****** ***** in our system. One of those accounts does not have a signed contract, and for accounts without a signed agreement, a different termination policy applies. However, your account is the one with a signed contract, and as such, the $2,500 termination fee is valid.
